Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the NearSphere mobile app and website (the “Service”), operated by KindSphere (“NearSphere”, “we”, “us”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

1. What NearSphere is

NearSphere is a hyperlocal platform that helps residents discover nearby shops and service providers, see availability, make bookings and requests, reserve for pickup, and connect with their local community. NearSphere is a facilitator and a point of connection — the actual goods and services are provided by independent local businesses and professionals (“Providers”), not by NearSphere.

2. Eligibility & accounts

• You must be at least 18 years old to use the Service.
• You sign in using your mobile number and a one-time password (OTP). You are responsible for keeping access to your number and account secure.
• You agree to provide accurate information and to keep it up to date.
• You are responsible for activity that happens under your account.

3. Bookings, requests & Providers

• When you make a booking or request, NearSphere passes the necessary details to the relevant Provider so they can respond. A Provider may accept, decline, or propose a different time.
• Any agreement, service, quality, pricing, timing, and payment for a booking is between you and the Provider. NearSphere is not a party to that agreement.
• NearSphere does not set Provider prices, does not control Providers, and does not guarantee the availability, quality, or outcome of any service.
• Verification badges and ratings are aids, not guarantees. Please use your own judgement when engaging a Provider.

4. Community content

You may post questions, recommendations, and updates in community features. You are responsible for what you post, and you grant NearSphere a non-exclusive licence to host and display your content within the Service. Do not post anything unlawful, misleading, hateful, infringing, or that violates others’ privacy. We may remove content or restrict accounts that breach these Terms.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Misrepresent your identity or impersonate others.
• Interfere with, disrupt, scrape, or attempt to gain unauthorised access to the Service.
• Misuse Providers’ or other users’ personal information.

6. Providers on the platform

If you register as a Provider, you additionally agree to provide accurate business information, to honour bookings you accept, to comply with applicable laws and licensing for your services, and to treat customers fairly. NearSphere may verify, suspend, or remove Provider listings at its discretion.

7. Intellectual property

The NearSphere and KindSphere names, logos, and the Service’s software and design are owned by KindSphere and protected by law. You may not copy, modify, or use them except as allowed by these Terms or with our written permission. Your content remains yours.

8. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim warranties of any kind, including regarding the availability, reliability, or fitness for a particular purpose of the Service or of any Provider or their services.

9. Limitation of liability

To the fullest extent permitted by law, NearSphere and KindSphere will not be liable for any indirect, incidental, special, or consequential damages, or for any dealings between you and a Provider or other user. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Suspension & termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms or to protect the Service, users, or Providers. Some provisions (such as intellectual property, disclaimers, and limitation of liability) survive termination.

11. Changes to the Service or Terms

We may update the Service and these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify you in the app. Continued use after an update means you accept the revised Terms.

12. Governing law

These Terms are governed by the laws of India, and the courts at Pune, Maharashtra shall have jurisdiction, without regard to conflict-of-law principles, unless applicable law requires otherwise.
